1. LICENCE. Dès votre acceptation des termes et conditions de ce Contrat, Trend Micro vous accorde par la présente une licence non exclusive, incessible, non sous-licenciable, libre de redevances, mondiale, pour télécharger et installer le Logiciel, uniquement pour votre propre usage. Trend Micro se réserve le droit d'améliorer, de modifier ou de cesser le Logiciel ou d'imposer de nouvelles conditions d'utilisation à tout moment sans préavis.

2. RESTRICTIONS D'UTILISATION ET PROPRIÉTÉ. Le Logiciel est licencié, non vendu. Trend Micro détient le titre et les droits de propriété intellectuelle sur le Logiciel, et se réserve tous les droits qui ne vous sont pas expressément accordés dans ce Contrat. Vous vous engagez à ne pas louer, prêter, mettre en location ou sous-licencier le Logiciel. Vous vous engagez à ne pas tenter de décompiler, modifier, traduire, désassembler, découvrir le code source de, ou créer des œuvres dérivées à partir de toute partie du Logiciel, ni à autoriser d'autres à entreprendre l'un de ces actes.

3. SAUVEGARDE. Tant que vous utilisez le Logiciel, vous vous engagez à sauvegarder régulièrement vos programmes et fichiers informatiques (« Données ») sur un support séparé. Vous reconnaissez que l'absence de sauvegarde peut vous faire perdre des Données en cas d'erreur dans le Logiciel provoquant des problèmes informatiques, et que Trend Micro n'est pas responsable de toute perte de Données ainsi subie.

4. RÉSILIATION. Trend Micro peut résilier la licence à tout moment pour n'importe quelle raison. À la résiliation, vous vous engagez à supprimer ou détruire toutes les copies du Logiciel. Vous pouvez résilier ce Contrat à tout moment en détruisant ou en supprimant toutes les copies du Logiciel.

5. RAPPORTS ET CONFIDENTIALITÉ. À tout moment pendant la durée de ce Contrat, vous pouvez choisir d'envoyer à Trend Micro un rapport de fichiers journaux pouvant inclure des informations personnelles que le Logiciel a scannées sur votre ordinateur. En acceptant ce Contrat, vous donnez votre consentement à Trend Micro pour traiter les données de fichiers journaux fournies par vous (« Informations ») en rapport avec ce Contrat ; le traitement peut inclure la collecte, l'enregistrement, le stockage, la modification ou la divulgation de ces Informations à des tiers. Comme condition à l'utilisation du Logiciel et en acceptant ce Contrat, vous devez garantir, représenter et garantir que vous êtes légalement autorisé à fournir à Trend Micro l'accès aux Informations et vous donnez également votre consentement à Trend Micro pour transférer ou stocker les Informations dans une ou plusieurs de ses sociétés du groupe, situées à l'intérieur et/ou à l'extérieur du pays où vous vous trouvez, et/ou dans des juridictions qui peuvent avoir un niveau de protection des Informations inférieur à celui applicable dans le pays où vous vous trouvez ou où les lois sur la confidentialité peuvent ne pas être aussi strictes que celles de votre propre pays.

6. PRUDENCE ET RECONNAISSANCE. Le Logiciel est conçu pour identifier différents types de fichiers, modifications du système d'exploitation, paramètres de registre ou de navigateur, qui, selon l'avis de Trend Micro, peuvent compromettre la sécurité ou la productivité de l'ordinateur. Vous convenez que Trend Micro ne sera pas responsable de la suppression ou de la désactivation de fichiers ou de paramètres ou des résultats de cette suppression ou désactivation. Vous êtes seul responsable du choix des fichiers ou paramètres à supprimer de votre ordinateur.

7. AUCUNE GARANTIE. LE LOGICIEL EST FOURNI « TEL QUEL », SANS AUCUNE GARANTIE DE QUELQUE NATURE QUE CE SOIT. TREND MICRO NE GARANTIT PAS QUE VOTRE UTILISATION DU LOGICIEL SERA ININTERROMPUE OU SANS ERREUR. DANS LA MESURE MAXIMALE AUTORISÉE PAR LA LOI APPLICABLE, TREND MICRO DÉCLINE ET EXCLUT TOUTES REPRÉSENTATIONS ET GARANTIES RELATIVES AU LOGICIEL, QUI QU'ELLES SOIENT, EXPRESSES OU SOUS-ENTENDUES, Y COMPRIS, MAIS SANS S'Y LIMITER, LES GARANTIES SOUS-ENTENDUES D'ABSENCE DE CONTREFAÇON DES DROITS DES TIERS, DE QUALITÉ SATISFAISANTE, DE COMMERCIALISATION ET D'ADAPTATION À UN OBJECTIF PARTICULIER.

8. AUCUNE RESPONSABILITÉ POUR DOMMAGES INDIRECTS.
(A) TREND MICRO NE CHERCHE PAS À LIMITER OU EXCLURE SA RESPONSABILITÉ EN CAS DE DÉCÈS OU DE BLESSURES CORPORELLES CAUSÉS PAR SA NÉGLIGENCE OU POUR FRAUDE OU POUR TOUTE AUTRE RESPONSABILITÉ QUE LA LOI NE PERMET PAS D'EXCLURE.
(B) DANS LA MESURE MAXIMALE AUTORISÉE PAR LA LOI APPLICABLE, TREND MICRO DÉCLINE TOUTE RESPONSABILITÉ POUR DES DOMMAGES INDIRECTS, SPÉCIAUX, ACCESSOIRES OU CONSÉCUTIFS DE QUELQUE NATURE QUE CE SOIT OU POUR DES DONNÉES PERDUES OU CORROMPUES OU DES PANNES DE SYSTÈME, DOMMAGES DE DISQUE/SYSTÈME, PROFITS OU ÉCONOMIES PERDUS, OU PERTE D'ACTIVITÉ, RESSORTISSANT OU LIÉS À CE CONTRAT. VOUS COMPRENEZ ÉGALEMENT ET ACCEPTEZ QUE VOUS TÉLÉCHARGEZ, INSTALLEZ ET/OU UTILISEZ LE LOGICIEL À VOTRE PROPRE DISCRÉTION ET À VOS RISQUES ET QUE VOUS SEREZ SEUL RESPONSABLE DE TOUT DOMMAGE À VOTRE SYSTÈME INFORMATIQUE OU PERTE DE DONNÉES RÉSULTANT DE L'UTILISATION DU LOGICIEL.
9. PROTECTION DES CONSOMMATEURS ET CONFIDENTIALITÉ. CERTAINS PAYS, ÉTATS ET PROVINCES, Y COMPRIS DES ÉTATS MEMBRES DE L'ESPACE ÉCONOMIQUE EUROPÉEN, NE PERMETTENT PAS CERTAINES EXCLUSIONS OU LIMITATIONS DE RESPONSABILITÉ, DE SORTE QUE L'EXCLUSION DE GARANTIE CI-DESSUS ET L'EXCLUSION OU LIMITATION DES RESPONSABILITÉS (SECTIONS 7 ET 8) PEUVENT NE PAS S'APPLIQUER ENTIEREMENT À VOUS. VOUS POUVEZ AVOIR DES DROITS ET RECOURS ADDITIONNELS. DE TELS DROITS ET RECOURS ÉVENTUELS, LE CAS ÉCHÉANT, NE SERONT PAS AFFECTÉS PAR CE CONTRAT. IL PEUT EXISTER DES RÈGLEMENTS MANDATOIRES OU DES DISPOSITIONS LÉGALES APPLICABLES À VOUS EN TANT QUE CONSOMMATEUR.
10. CONFORMITÉ À TOUTES LES LOIS, CONTRÔLE DES EXPORTATIONS. Le Logiciel est soumis aux contrôles à l'exportation en vertu des Règlements d'Administration des Exportations des États-Unis. Le Logiciel ne peut pas être exporté ou réexporté vers des entités situées dans, ou des résidents ou citoyens de, pays sous embargo ou des pays soumis à des sanctions commerciales applicables, ni à des personnes ou entités interdites ou refusées sans licences gouvernementales appropriées. Des informations sur ces restrictions peuvent être consultées sur les sites suivants : http://www.treas.gov/ofac/ et www.bis.doc.gov/complianceandenforcement/ListsToCheck.htm. Vous êtes responsable de toute violation des lois américaines sur le contrôle des exportations relatives à votre copie du Logiciel. En acceptant ce Contrat, vous confirmez que vous n'êtes pas résident ou citoyen d'un pays actuellement sous embargo par les États-Unis et que vous n'êtes pas autrement interdit de recevoir le Logiciel.

11. DROITS RESTRICTIFS DU GOUVERNEMENT DES ÉTATS-UNIS. Si l'entité au nom de laquelle vous acquérez le Logiciel est une unité ou un organisme du Gouvernement des États-Unis, alors cette entité gouvernementale reconnaît que le Logiciel, (i) a été développé à titre privé, (ii) est de nature commerciale, (iii) n'est pas dans le domaine public, et (iv) est un « Logiciel d'Ordinateur Restreint » tel que défini dans la Clause 52.227-19 des Règlements Fédéraux d'Acquisition (FAR) et est un « Logiciel d'Ordinateur Commercial » tel que défini dans le Sous-partie 227.471 du Règlement Fédéral d'Acquisition du Département de la Défense (DFARS). Le Gouvernement convient que (i) si le Logiciel est fourni au Département de la Défense (DoD), le Logiciel est classé comme « Logiciel d'Ordinateur Commercial » et le Gouvernement acquiert seulement des « droits restreints » sur le Logiciel et sa documentation tels que ce terme est défini dans la Clause 252.227-7013(c)(1) du DFARS, et (ii) si le Logiciel est fourni à toute unité ou agence quelconque du Gouvernement des États-Unis autre que le DoD, les droits du Gouvernement sur le Logiciel et sa documentation seront tels que définis dans la Clause 52.227-19(c)(2) du FAR.

12. LOI APPLICABLE. Sauf disposition contraire requise par les lois de la juridiction spécifique, ce Contrat sera régi par les lois de l'État de Californie, États-Unis, sans égard aux dispositions de la Convention des Nations Unies sur les Contrats de Vente Internationale de Marchandises et aux dispositions relatives aux conflits de lois de votre État ou pays de résidence.

13. DISPOSITIONS GÉNÉRALES. Ce Contrat constitue l'intégralité de l'accord entre vous et Trend Micro à l'égard de l'objet des présentes et remplace et annule toutes les compréhensions ou accords antérieurs ou contemporains concernant ce sujet. Toute renonciation à une disposition quelconque de ce Contrat ne sera effective que si elle est faite par écrit et signée par Trend Micro. Dans le cas où une disposition ou une partie de ce Contrat est jugée invalide, cette constatation n'affectera pas la validité des parties restantes de ce Contrat. Trend Micro peut céder ou sous-traiter tout ou partie de ses obligations en vertu de ce Contrat à des tiers qualifiés ou à ses filiales et/ou sociétés affiliées, à condition qu'aucune telle cession ou sous-traitance ne libère Trend Micro de ses obligations en vertu de ce Contrat.
